Major investor Ariel Investments has formally urged Mattel's board to explore a sale or strategic alternatives following a letter that highlighted declining sales and a 19% year-to-date stock decline. The request comes as the Barbie maker navigates a difficult period for its core toy business.
Chairman and Co-CEO John Rogers sent the letter to Mattel's directors, outlining a range of strategic options. Rogers argued that acquiring companies would likely offer a valuation well above the current market price, pointing to potential interest from entertainment firms and private equity groups. The proposal suggested Mattel could pursue a merger, divest key assets, or accept an outright sale.
Mattel acknowledged the proposal and outlined its approach to shareholder feedback. "We appreciate Ariel Investments' longstanding investment in Mattel and their continued engagement," a Mattel spokesperson said. The company added that its board and management team will review the letter alongside input from other investors.
The pressure to restructure follows a challenging stretch for the toy maker. Despite producing the 2023 Barbie film that starred Margot Robbie and Ryan Gosling, the company has seen sales of its core dolls and other products fall. The shift in direction coincides with a leadership change, as Roger Lynch took over as CEO and chairman in September, replacing Ynon Kreiz, who led the company for eight years.
Investor interest in a potential deal has already moved the market. Brand licensing firm Authentic Brands recently expressed takeover interest in Mattel with a potential offer valued at about $6 billion. Following reports of that proposal, Mattel's shares rose 20%, signaling strong market appetite for a strategic shift.
